Omada is seeking a Senior Corporate Counsel to support its corporate legal function as the company continues to scale. This role serves as a key member of the legal team, advising on securities law compliance, public company reporting, and corporate governance matters.

The position will lead the preparation and review of SEC filings, including periodic reports and disclosures, and support annual meeting processes such as proxy statements and shareholder communications. The role also advises on securities law compliance, including insider trading policies, Regulation FD, and the handling of material non-public information.

Working closely with executive leadership and cross-functional teams, the attorney will support board and committee processes, equity plan administration, and broader corporate governance initiatives. The role also contributes to M&A and business development activities and supports ongoing corporate and subsidiary management matters.

The ideal candidate brings strong experience in securities law, SEC reporting, and corporate governance within high-growth or public company environments. You are comfortable advising senior stakeholders, managing complex disclosure requirements, and providing practical guidance that supports a fast-moving and mission-driven organization.
